1. Acceptance of Terms
By engaging iWebAgents for any services, you ("Client") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and iWebAgents ("Company," "we," "us," or "our").

Design Services
- Graphic design and branding
- Logo design and brand identity
- Landing page design
- Marketing materials design
- User interface and user experience design
E-commerce Listing Services
- Amazon, Flipkart, and marketplace listings
- Product catalog management
- Marketplace optimization
- Inventory management support
Service Scope
Specific services, deliverables, timelines, and costs will be detailed in individual project proposals or service agreements. Services not explicitly mentioned in the project scope are not included unless agreed upon in writing.
3. Client Responsibilities
To ensure successful project completion, clients must fulfill the following responsibilities:
Content and Materials
- Provide all necessary content, images, and materials in a timely manner
- Ensure all provided content is original or properly licensed
- Review and approve deliverables within agreed timeframes
- Provide clear and detailed project requirements
Access and Credentials
- Provide necessary access to hosting accounts, domains, and third-party services
- Maintain security of login credentials and access information
- Ensure backup of existing data before project commencement
- Provide administrative access to relevant platforms when required
Communication and Feedback
- Respond to communications within 48 hours during business days
- Provide constructive and specific feedback on deliverables
- Attend scheduled meetings and calls as agreed
- Designate a primary point of contact for the project
Legal Compliance
- Ensure all content and business practices comply with applicable laws
- Obtain necessary licenses and permissions for content usage
- Comply with platform terms of service and guidelines
- Maintain appropriate business licenses and registrations
4. Payment Terms
Payment Structure
Payment terms vary by project type and will be specified in individual agreements:
- One-time Projects: 50% upfront, 50% upon completion
- Monthly Services: Payment due at the beginning of each month
- Large Projects: Milestone-based payments as agreed
- Rush Projects: 100% payment upfront
Payment Methods
We accept the following payment methods:
- Bank transfer (NEFT/RTGS/IMPS)
- UPI payments
- Credit/Debit cards (online payment gateway)
- Digital wallets (PayTM, PhonePe, Google Pay)
Late Payments
- Invoices are due within 7 days of issuance unless otherwise specified
- Late payments may incur a 2% monthly service charge
- Work may be suspended for accounts more than 15 days overdue
- Collection costs and legal fees may be charged to the client
Refund Policy
- Refunds are considered on a case-by-case basis
- Work completed and delivered is generally non-refundable
- Monthly service fees are non-refundable once the service period begins
- Refund requests must be made in writing with valid justification

Timeline Estimates
Project timelines are estimates based on:
- Project scope and complexity
- Client responsiveness and feedback
- Availability of required materials and access
- Current workload and resource allocation
Factors Affecting Timeline
Timelines may be extended due to:
- Delayed client feedback or approvals
- Changes in project scope or requirements
- Technical issues beyond our control
- Third-party service dependencies
- Force majeure events
Timeline Modifications
- Timeline changes will be communicated promptly
- Scope changes may require timeline and cost adjustments
- Rush delivery may incur additional charges
- Client delays do not extend our delivery commitments
6. Intellectual Property
Client-Owned Content
Clients retain ownership of:
- Original content, text, and materials provided
- Existing trademarks, logos, and brand elements
- Business processes and proprietary information
- Final deliverables upon full payment
iWebAgents-Created Work
Upon full payment, clients receive:
- Full ownership of custom-developed websites and applications
- Rights to use custom graphics and designs created for the project
- Source code and development files (where applicable)
- Documentation and training materials
Third-Party Assets
- Stock photos, fonts, and plugins remain property of their respective owners
- Clients are responsible for obtaining proper licenses
- We may use third-party tools and frameworks with appropriate licenses
- Open-source components retain their original licenses
Portfolio Rights
iWebAgents reserves the right to:
- Display completed work in our portfolio
- Use project details as case studies (with client approval)
- Reference client relationships in marketing materials
- Showcase work for business development purposes
7. Confidentiality
Confidential Information
We treat the following as confidential:
- Business strategies and plans
- Financial information and data
- Customer lists and contact information
- Proprietary processes and methodologies
- Login credentials and access information
Protection Measures
- Secure storage of client data and information
- Limited access to confidential information on a need-to-know basis
- Non-disclosure agreements with team members
- Secure communication channels for sensitive information
Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly available or becomes public through no fault of ours
- Was known to us prior to disclosure
- Is required to be disclosed by law or court order
- Is independently developed without use of confidential information
8. Warranties & Disclaimers
Service Warranties
We warrant that our services will be:
- Performed with professional skill and care
- Delivered in accordance with agreed specifications
- Free from material defects for 30 days after delivery
- Compliant with industry standards and best practices
Website and Application Warranties
- Websites will function as specified across major browsers
- Code will be free from material bugs and errors
- Responsive design will work on standard devices
- Basic SEO implementation will follow current best practices
Disclaimers
We disclaim warranties regarding:
- Third-party services, plugins, or integrations
- Search engine rankings or marketing results
- Website performance on all possible devices or browsers
- Compatibility with future software updates
- Uninterrupted or error-free operation
Remedy for Breach
Our sole obligation for warranty breach is to:
- Correct defects in our work at no additional charge
- Re-perform services that do not meet specifications
- Provide alternative solutions where correction is not feasible
9. Limitation of Liability
Liability Limits
Our total liability for any claim shall not exceed:
- The total amount paid by the client for the specific project
- ₹1,00,000 for any single incident or claim
- The amount paid in the 12 months preceding the claim
Excluded Damages
We shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Data loss or corruption (beyond our direct control)
- Third-party claims or actions
- Damages resulting from client's misuse of deliverables
Force Majeure
We are not liable for delays or failures due to:
- Natural disasters or acts of God
- Government actions or regulations
- Internet or telecommunications failures
- Third-party service outages
- Other circumstances beyond our reasonable control
10. Termination
Termination by Client
Clients may terminate services:
- With 30 days written notice for ongoing services
- Immediately for one-time projects (subject to payment for work completed)
- For cause with immediate effect
Termination by iWebAgents
We may terminate services for:
- Non-payment of invoices beyond 30 days
- Breach of these Terms by the client
- Abusive or unprofessional behavior
- Illegal or unethical business practices
- Failure to provide necessary cooperation
Effects of Termination
- Client remains liable for all charges incurred before termination
- Work completed will be delivered upon full payment
- Ongoing services will cease at the end of the current billing period
- Confidentiality obligations survive termination
Data and File Transfer
- Client data will be provided in standard formats
- Transfer must be completed within 30 days of termination
- Additional charges may apply for complex data migration
- We retain the right to delete data after 90 days
11. Dispute Resolution
Initial Resolution
Before formal proceedings, parties agree to:
- Attempt good faith negotiations to resolve disputes
- Provide written notice of the dispute with specific details
- Allow 30 days for informal resolution attempts
- Consider mediation through a neutral third party
Formal Dispute Resolution
If informal resolution fails:
- Disputes will be resolved through binding arbitration
- Arbitration will be conducted in Delhi, India
- Proceedings will be in English language
- Each party bears their own costs unless otherwise awarded
Exceptions
The following may be pursued in court:
- Collection of unpaid invoices
- Intellectual property infringement claims
- Injunctive relief for confidentiality breaches
- Small claims court matters within jurisdiction limits
12. Governing Law
Applicable Law
These Terms are governed by:
- The laws of India
- Delhi state regulations where applicable
- Indian Contract Act, 1872
- Information Technology Act, 2000
Jurisdiction
- Courts of Delhi, India have exclusive jurisdiction
- Parties consent to personal jurisdiction in Delhi
- Venue for any legal proceedings shall be Delhi
Compliance
Both parties agree to comply with:
- All applicable local, state, and national laws
- Industry regulations and standards
- Data protection and privacy laws
- Tax obligations and reporting requirements

We may modify these Terms:

- Existing clients will be notified via email

- Continued use of services constitutes acceptance
Objection to Changes

- Existing projects continue under original terms
- New projects will be subject to updated terms
- Services may be terminated if agreement cannot be reached
