iWebAgents provides professional agency services including search engine optimization (SEO), local SEO, ecommerce performance marketing (Google Ads, Meta Ads), Shopify and custom web development, and marketplace listing optimization. Detailed deliverables, timelines, KPIs, and fee arrangements for specific projects are formalized through written statements of work (SOW) or service proposals signed between the parties.

3. Client Responsibilities & Ad Account Ownership

To enable efficient campaign execution, Clients agree to:

• Provide timely access to ad accounts, CMS portals, tag managers, and required digital assets.
• Ensure all submitted marketing materials, claims, and product information comply with applicable Indian advertising regulations and do not infringe intellectual property rights.
• Maintain direct billing ownership with advertising platforms (Google Ads, Meta Ads) for all third-party media spend.

4. Intellectual Property Rights

All website content, custom code, graphics, branding, and text published on this website are the proprietary intellectual property of iWebAgents or licensed to us. Upon receipt of full payment for bespoke development or creative projects under an executed agreement, agreed intellectual property deliverables are transferred or licensed to the Client in accordance with the specific SOW.

5. Warranties & Performance Disclaimers

While iWebAgents employs professional industry methodologies and data-driven optimization strategies, search engine algorithms (such as Google Search and AI Overviews) and third-party advertising auction dynamics (such as Meta and Google Ads) operate independently. Consequently, iWebAgents does not guarantee specific absolute rankings, conversion volumes, or sales revenue unless expressly stipulated in writing.

6. Limitation of Liability

To the maximum extent permitted under applicable Indian law, iWebAgents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption arising out of your use of our website or services.

7. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of India. The courts situated in New Delhi, India shall have exclusive jurisdiction over any disputes arising from these Terms.
